Further to the Immediate Reports dated June 8, 2014 (ref. no. 2014-01-084933), April 17, 2014 (ref. no. 2014-01-043764), and January 30, 2014 (ref. no. 2014-01-027250), the Company has announced that on August 28, 2014 the sale was completed of the entire holdings of Delek Europe Holdings Ltd, a Company subsidiary, in Delek Europe BV, and that a first payment of EUR 90 million has been received.

At this time the Company is assessing the accounting implications of completion of the transaction. The results of the transaction will be applied to the Income Statement for Q3 and will be impacted mainly by the results of Delek Europe BV up until the completion date of the sale, by the estimated fair value of the consideration for the transaction (including the contingent consideration), by the costs of the sale, by allocation of the debit reserve funds to the Income Statement, and by the shekel-euro exchange rate.
