Delek Group: Sale of Holdings of Delek Europe BV
Delek Group Following its immediate report 2014-01-027250 dated January 30, 2014, the Company hereby announces that on April 16, 2014, Delek Europe Holdings Ltd., a subsidiary of the Company held by Delek Petroleum Ltd. (80%) and Delek, The Israel Fuel Corporation Ltd. (20%), signed a binding memorandum of understanding with a foreign fund for the acquisition of the Seller's entire holdings (100%) in the foreign company, Delek Europe BV ("the Sold Company") and the loans extended to the Sold Company by the Seller, for a total consideration of EUR 355 million (approx. NIS 1.7 billion) ("the Consideration").

Delek Europe B.V., a subsidiary of Delek Group, was established in May 2007 as the European energy retail and marketing assets arm of the Group. Delek Europe initiated its 'Footprint' through its wholly owned subsidiary Delek Benelux through the purchase of 870 Texaco gas stations and 410 convenience stores in the Benelux area. In October 2010, Delek Europe has extended its presence in Europe when purchased the retail activity of BP in France. As of yearend 2010, Delek Europe network consists of approximately 1,230 gas stations and 935 convenience stores over 4 countries.
